Service

Welcome to Agentini! These Terms of Service (“Terms”) are a contract between you and Agentini.com, Inc. (“Agentini,” “we,” “us,” or “our”) and govern your access to and use of our website at Agentini.com, our mobile and desktop apps, APIs, and related services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity, and “you” refers to that entity.
If you do not agree to these Terms, do not use the Services.
1) Who can use Agentini (Eligibility)
You must be (a) at least the age of majority in your place of residence and (b) legally able to enter into these Terms. The Services are not for children under 13 (or under 16 where required by law).
2) Your account
You’re responsible for your account, including keeping your credentials secure and for all activity under your account. Tell us right away at contact@agentini.com if you suspect unauthorized use.
3) Organizations, admins, and end users
If your account is created by or managed for a company or organization (an “Organization”):
The Organization’s Admin(s) may control and manage the account(s), including access, roles, permissions, and content within the Organization’s workspace(s).
The Organization is responsible for its users’ compliance with these Terms.
If there is a conflict between instructions from an Admin and instructions from an individual user, we will generally follow the Admin’s instructions.
4) What you can do with Agentini (License)
Subject to these Terms and your compliance, Agentini grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business or personal productivity purposes.
You may not: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer or attempt to extract source code; (c) access the Services to build a competing product; (d) remove or alter notices; (e) bypass or breach any security or rate-limit; or (f) use any automated means to scrape or harvest data except as expressly permitted by us in writing or via documented APIs.
5) Your content and data
a) “Customer Content”
“Customer Content” means prompts, inputs, data, files, and other material you or your users provide to the Services, and results produced for you by the Services (“Outputs”).
b) Your ownership; our limited license
You retain ownership of your Customer Content. You grant Agentini a worldwide, limited license to host, process, transmit, display, and otherwise use Customer Content and Outputs only to provide, maintain, secure, and improve the Services and to comply with law.
c) Data handling & privacy
We handle personal data as described in our Privacy Policy at [link to Privacy Policy]. By using the Services, you consent to that policy.
d) AI training
We may use de-identified Customer Content and Outputs to improve the Services. You can opt out at any time by closing down your account.
6) Your responsibilities (Acceptable use)
You agree not to use the Services to:
violate any law or others’ rights (including IP, privacy, or publicity rights);
upload or generate unlawful, harmful, defamatory, obscene, or misleading content;
seek to create or disseminate malware, exploits, or content that could cause physical or financial harm;
attempt to re-identify individuals from de-identified data or to collect or process special categories of personal data without lawful basis and appropriate safeguards;
submit protected or confidential information that you lack rights to share with us; or
spam, interfere with, or disrupt the Services or others’ use.
You are responsible for reviewing Outputs for accuracy and appropriateness for your use case.
7) AI limitations and sensitive use
Agentini uses AI models that generate probabilistic results. Outputs may be inaccurate, incomplete, or inappropriate. Use human judgment and independently verify important information (e.g., legal, medical, financial, or safety-critical matters). Agentini does not provide professional advice and the Services are not a substitute for professional services.
8) Third-party services and content
The Services may depend on or link to third-party products, models, datasets, or services (collectively, “Third-Party Services”). Your use of Third-Party Services may be subject to separate terms. Agentini is not responsible for Third-Party Services and provides them “as is.”
9) Beta features and previews
We may label certain features as Beta, Preview, or Experimental. These features are provided for evaluation, may change at any time, and may be less reliable than generally available features. Use them at your own risk.
10) Subscriptions, fees, and taxes
If you purchase a paid plan:
You agree to pay the fees described at checkout or in an order form.
Unless stated otherwise, fees are billed in advance, are non-refundable, and exclude taxes, duties, and government charges, which you are responsible for paying.
Plans renew automatically at the end of each term unless you cancel before renewal. You can cancel in your account settings or by contacting contact@agentini.com.
We may change prices with reasonable advance notice and changes will apply to the next renewal term.
11) Service availability and support
We aim for high availability but do not guarantee uninterrupted service. We may suspend or limit the Services for maintenance, security, or legal reasons. If you have a separate service level agreement (SLA) with us, it will govern where it conflicts with this Section.
12) Confidential information
If either party receives information marked or reasonably understood as confidential (“Confidential Information”), that party will use it only to fulfill these Terms and will protect it using reasonable care. Customer Content is your Confidential Information. Exceptions apply to information that is public, independently developed, or lawfully obtained from others. Required disclosures by law are permitted with reasonable notice where allowed.
13) Intellectual property
The Services, including software, models, and documentation, are owned by Agentini and its licensors and are protected by IP laws. Except for the limited license in Section 4, no rights are granted to you. You may provide feedback; we may use it without restriction or compensation.
14) DMCA and copyright complaints
If you believe content infringes your copyright, please send a notice to contact@agentini.com with: (a) your contact info; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury; and (f) your signature. We may remove content and terminate repeat infringers where appropriate.
15) Export controls
You must comply with applicable export and sanctions laws. You may not use the Services if you are located in, or are a resident of, a jurisdiction embargoed by The United States or if you are on a restricted list.
16) Termination
You may stop using the Services at any time. We may suspend or terminate access immediately if you breach these Terms, create risk or legal exposure for us, or as required by law. We may also discontinue the Services with reasonable notice. Upon termination, your license ends and you must stop using the Services.
Data export. We will make reasonable efforts to allow you to export your Customer Content and Outputs for a limited period after termination or as required by law or by a separate agreement.
17) Disclaimers
THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTINI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE OR MEET YOUR REQUIREMENTS.
18) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER AGENTINI NOR ITS SUPPLIERS OR LICENSORS WILL BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR (B) LOSS OF USE, DATA, BUSINESS, REVENUE, OR PROFITS, IN EACH CASE ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE IS LIMITED TO THE AMOUNTS YOU PAID TO AGENTINI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU USED THE FREE TIER).
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted by law.
19) Indemnification
You will defend, indemnify, and hold harmless Agentini and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Services, or your breach of these Terms.
20) Dispute resolution; governing law
Governing law & venue. These Terms are governed by the laws of France.
21) Changes to the Services and to these Terms
We may modify the Services and these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or in-app). Changes apply going forward from the effective date. If you continue using the Services after the changes take effect, you agree to the updated Terms.
22) Communications
By using the Services, you may receive service-related communications (e.g., account, security, and transactional messages). You can manage marketing email preferences in your settings.
23) Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
24) Miscellaneous
Entire agreement. These Terms, any order forms, and policies referenced here (e.g., the Privacy Policy) are the entire agreement between you and Agentini regarding the Services.
Severability. If any part of these Terms is unenforceable, the rest remains in effect.
No waiver. A failure to enforce a provision is not a waiver.
Force majeure. We are not responsible for delays or failures due to events beyond our reasonable control.
Headings. Headings are for convenience and do not affect meaning.
